This End User License Agreement ("EULA") is a legally binding contract between you (either an individual or a legal entity) and MML Digital, operated by Marlete Maria Lima (CPF: 807.268.016-15), regarding the digital software product SyncRoutine Engine ("Software").
BY ACCESSING, DOWNLOADING, OR USING SYNROUTINE ENGINE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT ACQUIRE OR USE THE SOFTWARE.
1. Grant of License
Conditioned on receipt of the applicable license fee ($37.00) and ongoing compliance with this EULA, MML Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable personal license to run and use the Software solely for personal, internal organizational and productivity routines.
2. Restrictions
You expressly agree that you shall NOT:
- Distribute, license, sell, rent, lease, export, or transfer the Software or any portion thereof to third parties.
- Reverse engineer, decompile, disassemble, decrypt, or create derivative works based on the Software, except to the extent permitted by mandatory applicable law.
- Remove, alter, or obscure any copyright, trademark, logo, or proprietary notices placed on or within the Software.
- Use the Software to build, train, or benchmark a competing software product or service.
- Share license keys, login URLs, or authentication session tokens with multiple individuals or publicly.
3. Intellectual Property Rights & Ownership
The Software is licensed, not sold. MML Digital retains all title, ownership, copyright, trade secrets, patents, and other proprietary rights in and to the Software, its architecture, visual layout, code, and accompanying documentation.
4. Updates and Support
MML Digital may, in its sole discretion, deploy maintenance patches, minor bug fixes, or performance enhancements. Such updates will be governed by this EULA unless accompanied by a separate updated license agreement. MML Digital is under no obligation to provide perpetual support, offline updates, or customized modifications.
5. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS DELIVERED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. MML DIGITAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Organizational Disclaimer: SyncRoutine Engine is an organizational habit-tracking software tool. It does not provide psychological, therapeutic, clinical, or medical treatments, nor does it guarantee specific productivity benchmarks or behavioral transformations.
6. Limitation of Liability
IN NO EVENT SHALL MML DIGITAL, ITS OPERATOR, OR ITS AFFILIATES BE LIABLE FOR INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, OR SYSTEM DOWNTIME, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE. IN ALL CIRCUMSTANCES, OUR MAXIMUM LIABILITY SHALL BE LIMITED TO THE EXACT PURCHASE PRICE PAID FOR THE SOFTWARE (US$ 37.00).
7. Termination
This EULA remains effective until terminated. Your rights under this license terminate automatically without notice if you fail to comply with any provision of this EULA or upon the execution of a product refund. Upon termination, you must cease all use of the Software.
8. Governing Law and Severability
This EULA is governed by the laws of Brazil. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
